Terms & Conditions
How Acceptance Works. These Terms form a legally binding contract between you (the Client) and Wicked Sick Limited. By completing your purchase, whether by clicking 'Confirm Order', 'Pay Now', 'Subscribe', or by making payment by any method, you agree to be bound by these Terms in full. The act of completing your purchase constitutes your acceptance.
Important: Our products are for business use only. These Terms limit Wicked Sick's liability (see Clause 11). Many products are third-party software licences subject to additional vendor EULAs.
1. Definitions
Wicked Sick means Wicked Sick Limited, Company No. 11117702, registered at Chatmohr Lodge, Crawley Hill, West Wellow, Romsey, Hampshire, SO51 6AP. Client means the business purchasing products or services. Products means the software licences, managed IT services, and related products described in Clause 4. Fees means charges payable as set out in the Order Confirmation. Agreement means these Terms together with any Order Confirmation.
2. Business-to-Business Supply
Wicked Sick supplies exclusively to persons acting in the course of a business, trade, craft, or profession. By placing an order, the Client warrants it is acting as a business customer. These Terms do not apply to consumers as defined in the Consumer Rights Act 2015.
3. Contract Formation
A binding contract is formed when the Client clicks 'Confirm Order', 'Pay Now', 'Subscribe' or equivalent, makes payment, activates or uses any Product, or signs/electronically accepts any Order Form. No further signature is required. Electronic acceptance is valid under the Electronic Communications Act 2000. Wicked Sick reserves the right to amend these Terms on 30 days' written notice.
4. Products
Wicked Sick offers the following products online: ESET Endpoint Security, cloud-managed endpoint protection, billed per device; EasyDMARC / EasySender, DMARC, SPF, DKIM, and BIMI management; Cloud Backup, automated AES-256 encrypted backup for Google Workspace and Microsoft 365; BounceIQ, CRM-native email list hygiene and real-time contact verification. Each product may also be available as part of a multi-product bundle.
5. Fees and Payment
All Fees are in GBP and exclusive of VAT unless stated. Subscription Fees are payable in advance. Wicked Sick may charge statutory interest at 8% per annum above Bank of England base rate on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998. Access may be suspended after 14 days of non-payment following 7 Business Days' notice.
6. Term, Renewal and Cancellation
Subscriptions renew automatically unless cancelled. Monthly rolling subscriptions require 30 days' written notice to [email protected] before the renewal date. Annual subscriptions require 90 days' notice. No lock-in: there are no early termination penalties for monthly rolling subscriptions. No refunds for mid-period cancellations of annual subscriptions.
7. Third-Party Software
Many Products involve resale or sub-licensing of third-party software. By purchasing, the Client agrees to comply with applicable third-party EULAs in addition to these Terms. Wicked Sick is not liable for disruption or discontinuation of third-party platforms beyond its control. ESET, EasyDMARC/EasySender, and BounceIQ are independent vendors; Wicked Sick resells these as an authorised partner.
8. Warranties
Wicked Sick warrants it will supply Products with reasonable care and skill and holds appropriate professional indemnity insurance. To the fullest extent permitted by law, all implied warranties are excluded. Wicked Sick does not warrant that Products will be error-free or uninterrupted.
9. Acceptable Use
The Client must not use any Product for unlawful, fraudulent, or harmful purposes; to infringe third-party rights; to send unsolicited commercial communications; to distribute malicious code; or in breach of any applicable EULA or sanctions laws. Wicked Sick may suspend access immediately for breach.
10. Confidentiality
Each party shall keep the other's Confidential Information confidential and not disclose it to third parties without prior written consent, except as required by law or to professional advisers on a need-to-know basis. Confidentiality obligations survive for 3 years after termination.
11. Limitation of Liability
Nothing limits liability for death/personal injury from negligence, fraud, or any liability that cannot lawfully be limited. Subject to that: Wicked Sick's total aggregate liability shall not exceed the greater of (a) total Fees paid in the preceding 12 months or (b) GBP 5,000. Wicked Sick is not liable for loss of profits, loss of data, business interruption, or any indirect or consequential loss.
12. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control. If a Force Majeure Event continues for more than 60 days, either party may terminate the affected subscription without penalty (except for accrued Fees).
13. Data Protection
Each party shall comply with applicable Data Protection Law (UK GDPR and Data Protection Act 2018). Wicked Sick processes Client contact and billing data as a data controller per its Privacy Policy. Where Wicked Sick processes Personal Data on the Client's behalf, the parties shall execute a Data Processing Agreement. Wicked Sick is registered with the ICO under registration number ZB901943.
14. Intellectual Property
Each party retains its own pre-existing IP. The Client receives only the licence rights granted by the relevant third-party vendor's EULA. The Client must not reverse engineer, copy, sublicense, or transfer any Software.
15. General
This Agreement is governed by the law of England and Wales. The parties submit to the non-exclusive jurisdiction of the courts of England and Wales. This Agreement constitutes the entire agreement between the parties. Notices shall be delivered by email to [email protected] or by recorded delivery to Wicked Sick's registered office.
